An offshore company is an international vehicle. A free-zone company is a licensed operating company inside a zone. They answer different jobs. This page says which category deserves a closer look. It does not finish a legal or tax opinion.

Core purpose
Offshore company
An international corporate vehicle, usually filed through a registered agent, for holding and international arrangements the registry allows.
Free-zone company
A company licensed by a free zone to carry on the activities named on that licence.
UAE operating activity
Offshore company
Registration does not itself permit a shop, local service, or free-zone trade. Business in a jurisdiction still needs that jurisdiction’s licence.
Free-zone company
The licence is the permission to carry on the approved activities, inside the rules of that zone.

Not a mainland licence and not a free-zone operating licence.

A zone licence, with that zone’s activity list, term and renewal.

Not a residence-visa product. JAFZA’s regulations allow a property-owning offshore company to apply for a residency visa for members, subject to eligibility. That is not an operating-company quota.

Visa quota depends on the zone, the licence and the premises. Each person still needs immigration approval.

A registered office is a registry requirement. At JAFZA that can be an office in the zone, designated freehold property, or the agent’s Dubai office. It is not a trading warehouse.
Free-zone company
The zone’s desk, office, warehouse or land is part of the operating setup and often part of the visa quota.
Employees
Offshore company
Hiring people to operate in the UAE is an operating-company question, not a result of offshore registration.
Free-zone company
Employment visas, where the zone allows them, sit on the licence and the premises.
Holding shares
Offshore company
Official material describes holding assets and owning a stake in another company as a usual use. JAFZA’s regulations allow a stake in another UAE operating company.
Free-zone company
A free-zone company can own assets when its activity and constitutional documents allow it. Using it only as a holder is still an activity question for that zone.
Invoicing customers
Offshore company
Invoicing customers for a UAE operating activity is outside what registration itself provides.
Free-zone company
Invoicing follows the activities on the licence, and mainland customers can still need a distributor, a branch, or another approval.
Banking
Offshore company
The registry does not open the account. JAFZA’s rules allow the company to hold a UAE account. The bank decides.
Free-zone company
A free-zone licence is also not an account approval. Banks ask for their own documents.
Registered agent
Offshore company
RAK ICC incorporates only through a registered agent. JAFZA requires an agent unless the company maintains an office in the zone.
Free-zone company
A free-zone operating company is filed with that zone. It does not use the offshore registered-agent rule.
Tax
Offshore company
Depends on the activity, where decisions are made, and the law that applies. This page does not give a tax opinion.
Free-zone company
A free-zone licence does not itself decide corporate tax. Qualifying rules are a separate question.

Free-zone company
Licence renewal, premises and any establishment card or visa renew on that zone’s terms, and they do not always fall due together.

Customers will be invoiced and someone needs UAE residency. The category to investigate is an operating company, often a free-zone licence if the activity and the customers fit that zone. An offshore registration does not supply that visa or that licence.
Warehouse or other operations in the UAE. The category to investigate is an operating licence whose activity list and facilities cover that trade. Offshore registration does not replace the warehouse or the trading licence.
