Can a RAK ICC Company Own Property in Dubai?
Sources checked: 15 October 2026.
Yes. A RAK ICC company can own eligible property in Dubai, subject to Dubai Land Department (DLD) requirements and acceptance of the particular ownership structure and transaction. That answers the first question. The next one matters just as much: does buying through a company make sense for your property, financing and long-term plans?
Before paying to establish a company, work through the ownership route, transaction costs and ongoing obligations. Here is where to start.
What does buying through a RAK ICC company mean?
With direct company ownership, the company holds the property and the shareholders hold shares in the company. Those are different assets.
A RAK ICC holding company may be worth considering when you want a defined ownership structure for an investment, agreed decision-making between co-investors, or a company that fits into wider family planning. The useful question is what the structure needs to achieve.
For example, two investors might want written rules covering who approves a sale, how expenses are funded and what happens if one investor wants to leave. Establishing a company is only part of that work; its governance documents need to reflect those decisions.
For the wider comparison, see our guide to UAE holding companies.
Which Dubai properties can the company own?
Do not assume that every property qualifies.
DLD’s guidance connects ownership by companies owned by non-UAE citizens to designated ownership areas and accepted registration arrangements. The specific unit or plot should therefore be checked before you commit to the structure. DLD property ownership FAQs
The shareholder structure also matters. RAK ICC’s earlier official DLD announcement distinguished companies with individual shareholders from structures involving corporate shareholders. Use that as a reason to have the complete ownership chain assessed, particularly if another company will sit above the RAK ICC entity. It is historical guidance, not a substitute for current transaction confirmation. RAK ICC’s 2019 DLD announcement
Ask these questions before making a non-refundable commitment:
| What to check | The answer you need |
|---|---|
| Property eligibility | Can this specific unit or plot be registered to the proposed company? |
| Ownership chain | Is the proposed combination of individual and corporate shareholders acceptable? |
| Purchase contract | Which entity should sign, and when must it exist? |
| Financing | Will the lender consider this company and ownership structure? |
| Transaction costs | What charges apply to this purchase or transfer? |
Share the same property details and ownership chart with the registered agent, property adviser and registration trustee so their advice addresses the same transaction.
What documents should you prepare?
DLD has a company registration service that creates a reference number for real estate transactions. Company incorporation and registration in DLD’s system are separate steps.
Its general free-zone company checklist includes:
- A licence or certificate of incorporation.
- Memorandum and articles of association, with amendments where applicable.
- Owner identification documents.
- A no-objection certificate from the licensing entity for a purchase.
These are starting points from the DLD company registration service. Ask the trustee to confirm the applicable category and current RAK ICC document pack. In particular, establish which identification documents are accepted for non-resident owners and whether certified documents or additional signing authority are needed.
For your own preparation, keep a single folder containing the ownership chart, company documents, property details and proposed funding arrangements. Ask each professional handling the transaction to identify any missing items before you schedule completion.
If a corporate bank account forms part of your plan, read our offshore bank-account guide and confirm the payment arrangements with the professionals handling the purchase.
Buying a new property versus transferring one you already own
These are different planning exercises.
If you are buying a property, decide who should be the buyer before signing. Ask the property adviser how the proposed company will appear in the purchase documents and what must be ready by each contractual deadline. Include the lender early if financing is part of the plan.
If you already own the property personally, creating a company does not move the title into it. A separate property transaction must be considered. DLD states that ownership transfers and changes must be registered, including transactions without compensation. DLD registration guidance
Consider this hypothetical example: an investor owns an apartment personally and wants future investments held through a company. Two options deserve comparison: transferring the existing apartment, or retaining it personally while assessing company ownership for the next purchase. Request a separate cost and tax assessment for each option. Do not build the comparison around an assumed discounted transfer fee.
How much does the RAK ICC company cost?
RAK ICC’s official fee schedule, effective 1 January 2026, lists these standard registry charges:
| Registry item | Published fee |
|---|---|
| IBC incorporation for one year | AED 3,250 |
| IBC renewal for one year | AED 3,950 |
| No-objection certificate, per property | AED 1,250 |

These figures are registry line items. Your budget should separately identify the registered agent’s charges, DLD company registration and property transaction charges, document services, and any developer, lender or professional fees that apply. Confirm the scope and applicable VAT in the quotation.

Is property income automatically tax-free?
No. Do not assume that the word “offshore” gives a company a blanket UAE corporate tax exemption.
The Federal Tax Authority’s guidance includes companies incorporated under UAE law within the resident juridical person framework. It also explains that, for companies, activities and assets held are generally considered business activities and assets for corporate tax purposes. The treatment of an individual’s personal real estate investment cannot simply be carried across to a company.
Before choosing the structure, ask a tax adviser to assess rental income, a future sale, registration and filing obligations, and any consequences in the shareholders’ countries of tax residence. Include ongoing accounting costs in the ownership comparison.
How should you organise the purchase?
Use the following sequence as a planning framework; the professionals handling your transaction should confirm its actual order and requirements.
- Define the purpose. Write down who will invest, how the property will be used and whether financing is needed.
- Check the proposed route. Have the property and ownership chain assessed before committing to incorporation or a purchase deadline.
- Arrange incorporation. RAK ICC requires companies to be incorporated through a registered agent. Agree the agent’s scope and ongoing charges. RAK ICC incorporation FAQs
- Coordinate the transaction. Ask the agent and trustee to align company documents, required approvals and signing arrangements.
- Plan ownership after completion. Decide who will handle records, renewal dates, property expenses and tax work.
A company formation timeline should never be treated as the completion date for the entire property purchase.
Frequently asked questions
Is a RAK ICC company the same as a foundation?
No. A company limited by shares has shareholders; a foundation has a different governance structure. RAK ICC describes its foundations as having a council and constitutional documents. Although its DLD partnership update covers both routes, choosing between them requires a separate assessment of ownership and family objectives. RAK ICC foundation FAQs
Can the company manage properties for other owners?
Owning an investment property and operating a property management business are different activities. DLD’s guidance links management-company access to Ejari with specified activities registered in Trakheesi. Do not assume that property ownership approval authorises services for third-party landlords. DLD property management FAQs
Can I change the shareholders later instead of transferring the property?
Do not treat a share transfer as a way to bypass property-related checks. Before making the change, ask the registered agent and DLD or the trustee what updates, approvals and charges apply to that particular company and property. Include the lender if the purchase is financed.
