Buying Dubai property personally or through a company?
Start with what you need the ownership structure to do. Personal ownership avoids maintaining a separate company. A company may help organise shared investment or a wider asset structure, but brings its own eligibility, cost and administration questions. Neither route is automatically right for every buyer.
The comparison at a glance
Use this as a planning checklist. The property's location, proposed owner and use need their own review before you commit.
| Decision | Personal ownership | Company ownership |
|---|---|---|
| Ownership record | The individual or joint owners hold the property | The company holds the property; shareholders hold interests in the company |
| Administration | Property records and personal obligations | Property records plus company maintenance, accounts and applicable filings |
| Financing | Ask about terms for you as an individual borrower | Ask whether the lender accepts the exact company and ownership chain |
| Tax review | Assess whether the natural-person real estate investment exclusion applies | Assess the company's tax position separately |
| Succession | Plan for the personally owned property | Plan for the shares and continuity of company decisions |
| Changing the structure | A later move into a company needs transaction review | Share changes also need review; do not assume they avoid property-related requirements |
Before selecting a company package, clarify the ownership goal. Our UAE holding-company guide explains how asset holding differs from operating a business.
First check: can this buyer own this property?
Dubai Land Department's guidance allows non-UAE ownership in designated areas. It describes corporate ownership through Dubai free-zone companies and companies from other emirates under relevant memorandums of understanding. That does not establish that every overseas company, licence or ownership chain is accepted. DLD ownership guidance
Before incorporation, ask the registration trustee to assess the proposed entity against the specific title or project. Obtain the corporate-document checklist and any required approvals. DLD's sale-registration service also requires a company registration request for a corporate buyer. DLD sale registration
If you are considering RAK ICC, use our RAK ICC Dubai property guide for that route's separate eligibility and document checks.
Compare the full cost, including future years
Company incorporation is only one part of the ownership budget. Request two written totals: the purchase costs and the recurring annual costs.
For a standard sale, DLD publishes a 2% seller fee and 2% buyer fee, a combined 4% of the sale value. Confirm how the contract allocates payment. Its service-partner charge is AED 4,000 plus VAT for sales of AED 500,000 or more, or AED 2,000 plus VAT below that threshold. Other certificate, map and applicable transaction charges are additional. These are dated reference figures, not a complete quotation. DLD published fees
For company ownership, request separate lines for incorporation, registered-agent or service-provider work, annual renewal, accounts, applicable tax filings, company documents and transaction support. Ask which services are optional and which the chosen structure requires. See how to compare a RAK ICC setup quotation.
Planning calculation: add purchase-related costs to formation costs and the expected maintenance budget over your intended holding period. Use that total when deciding whether the structure's benefits justify its administration.
Decide on financing before choosing the owner
If a mortgage is necessary, make lender confirmation an early step. A quotation issued to you personally should not be treated as approval for a company purchase.
Ask the lender to confirm:
- The proposed borrower and accepted company structure.
- Deposit, pricing, repayment period and evidence of income or assets.
- Any personal guarantees or security required.
- How existing borrowing affects a transfer or later ownership change.
These are questions for a written financing proposal, not a promise that either route will qualify. Compare both proposals using the same purchase price and holding period.
Personal property income and company income are different tax questions
The FTA excludes a natural person's qualifying real estate investment from business activity for UAE Corporate Tax. The definition includes relevant sale and rental activity that is neither conducted nor required to be conducted through a business licence. Licensed activity needs separate analysis; holding property in your own name alone does not settle the question. FTA real estate investment guide, sections 4.1–4.2
A company incorporated under UAE mainland or free-zone rules falls within the FTA's resident juridical person framework. Do not transfer the individual exclusion to a company or assume that an offshore label gives a tax exemption. Ask for a review of the company's rental income, eventual disposal and registration and filing requirements. FTA resident juridical person guidance
Your country of tax residence also matters. For example, UK residents normally pay UK tax on foreign income, including overseas rent, subject to applicable reliefs and individual circumstances. A UAE ownership structure is not a substitute for that review. GOV.UK: tax on foreign income
A company does not complete your succession plan
With personal ownership, the planning concerns the property. With company ownership, it must address the shares and who can make decisions for the company. Ask your adviser to consider both ownership on death and practical continuity while documents and authority are being established.
DIFC Courts offers separate Property and Business Owners Will routes for eligible users; the latter can cover qualifying UAE company shareholdings, including RAK ICC companies. Its wills service has eligibility requirements, including the non-Muslim requirement. This is one possible route to assess, not a universal solution. Already own the property personally?
Compare keeping the existing title with transferring it. Do not assume a move to your own company is just a name change or automatically attracts a discounted fee. DLD requires registration of ownership transfers and changes, including those without compensation. Request a transaction-specific assessment of fees, approvals, financing and tax before proceeding. DLD registration guidance
The same caution applies to selling shares in a property-owning company: ask the trustee, company registry and lender what notifications, approvals and charges apply. Do not base the structure on a promised transfer-fee shortcut.
Three situations to discuss with your adviser
These examples are hypothetical starting points, not client outcomes or recommendations.
- A home for your own use: compare personal ownership first against the specific reason you would need a company. Include financing and succession in both options.
- A purchase with relatives or other investors: write down contributions, decision rights, distributions and exit expectations. Compare how each route would document those arrangements.
- An existing property plus future purchases: assess the current asset and proposed acquisitions separately. A reason to use a company for the next purchase does not establish that transferring the existing property is worthwhile.
The number of properties alone is not a sufficient decision rule. The purpose, people, financing and ongoing obligations need to fit together.
Prepare your ownership brief
You can start a conversation without uploading identity documents. Tell Vi:
- Is this a new purchase or a property you already own?
- Where is it, and is it residential or commercial?
- Will it be a home, a long-term rental or a different activity?
- Will you buy alone, with family or with other investors?
- Do you need financing?
- Which countries' tax rules and succession arrangements need review?
Ask Vi to help organise your ownership options, or contact AskVi to request specialist support. AskVi provides guidance and coordination; the relevant advisers, lender and registration authorities must confirm the proposed transaction. This guide is general information, not a personal legal or tax opinion.
